Terms and conditions

This English version is provided for your convenience. If there is any difference between the two versions, the Spanish version governs.

1. The agreement between you and us

These terms explain what we do, what is up to you, how payment works and what happens if something changes. The Abogado Comercial portal is operated by Squuad Systems, C.A. (a Venezuelan corporation; tax ID, RIF J-50852432-2).

You accept them when you check the box while creating your account, or when you request a procedure, sign up for a plan or book a consultation. Accepting them online is just as valid as signing them on paper: the Ley sobre Mensajes de Datos y Firmas Electrónicas (Data Messages and Electronic Signatures Law) allows contracts to be made online (article 15) and gives what you accept online the same evidentiary value as a signed paper document (article 4).

What we agree to here binds both of us equally, and we perform it in good faith (articles 1.159 and 1.160 of the Código Civil, Venezuela's Civil Code).

If the contract for your case says something different, your contract governs. If there is a translation, the Spanish version governs. If you need this in audio or large print, just ask and we'll provide it.

2. What we do

  1. Procedures with government agencies: SENIAT (Venezuela's tax and customs authority), SAREN (Venezuela's registries and notaries service), notary offices, registries, city halls, IVSS (Venezuelan Social Security Institute) and the rest.
  2. Legal, accounting, technology (Squuad) and education (Edusof) consulting.
  3. Monthly plans to keep your company in good standing.
  4. In the United States (Florida): notary services, apostilles, translations, and preparing and filing the paperwork to form your company. There, we do not give advice on United States law.

Who helps you: for legal matters, a lawyer (the law requires a law degree to give legal consultations, article 3 of the Ley de Abogados, Venezuela's Lawyers' Law). For accounting matters, a public accountant. For everything else, the team member who knows that area.

Ours is a service guarantee, not an outcome guarantee. We put into your case the care of a "buen padre de familia" (the civil-law standard of a prudent, diligent person), as article 1.270 of the Código Civil (Civil Code) requires, but the final decision rests with the agency or the court. We don't promise miracles: we help you get compliant from today forward.

We do nothing unlawful. If something cannot be done under the law, we tell you plainly and show you the options that do exist.

3. Your account

  1. To have an account you must be at least 18 years old, the age of majority in Venezuela (article 18 of the Código Civil, Venezuela's Civil Code). Procedures for a minor are requested by the minor's father, mother or legal representative.
  2. The information you give us must be true and up to date.
  3. If you act on behalf of a company, you must be authorized to do so under its bylaws or a power of attorney. We may ask you to show it.
  4. Your password is yours. If someone logs in to your account with it, they do so in your name. We will never ask you for it.
  5. If you think someone got into your account, change your password and let us know right away at info@abogadocomercial.com.
  6. From "People with access" you can give access to your business partner, accountant or assistant. You decide what they see, and you can remove their access whenever you want. What they do with that access is your responsibility.
  7. You can close your account whenever you want. What we keep by law after you close it is explained in the Privacy policy (section 14).

4. How to hire us for a procedure

  1. You choose the procedure from the catalog or ask us for a quote.
  2. We confirm in writing the final price, what we need from you and the estimated time. The quote is valid for 7 days, because agency fees and the exchange rate change.
  3. If the procedure requires it, you sign an authorization or a power of attorney so we can act on your behalf with the agency.
  4. You pay as set out in section 6. Once you say yes and pay, the agreement is in place.
  5. You receive your contract, your invoice and a case number to track it in My requests, along with the name of the person handling your case.

Your invoice is issued under the rules of SENIAT (Venezuela's tax and customs authority) (administrative rulings Providencia SNAT/2011/00071 and, for digital invoices, Providencia SNAT/2024/000102).

We reply within 1 to 3 hours, and we're open every day.

5. Prices

  1. Catalog prices say "From" because every case is different: a company that is up to date is not the same as one that is years behind.
  2. Before we start, we confirm the final price. Without your yes, we don't start, and once you say yes, we don't charge you more for our work.
  3. Our professional fees and the agency's costs are two different things. If the agency charges filing fees, official fees or revenue stamps, they are added to the same case, and we show them to you, with their receipt, before paying them.
  4. Prices are shown in dollars as a reference. You can pay in bolívares at the official exchange rate of the Banco Central de Venezuela (Central Bank of Venezuela) on the day of payment (article 128 of the Ley del Banco Central de Venezuela, the Central Bank of Venezuela Law).
  5. IVA (value-added tax, VAT) is added to prices. If you pay in foreign currency and the law requires charging the tax on large financial transactions (IGTF), it is added too. Both appear separately on your invoice.

6. Payments

  1. We accept Pago Móvil (Venezuelan instant mobile payment), bank transfer, cash, credit or debit card, Zelle and Cashea (pay in installments). With Squuad Split you can split the payment across several methods or several people.
  2. If the procedure costs less than $100, it is paid in full when we start.
  3. If it costs $100 or more, you pay 50% when we start and 50% on delivery. Before the second payment, we show you that the work is ready.
  4. If you pay in bolívares, the amount is calculated as set out in section 5.
  5. Pay only to the accounts shown in your case, in the name of Squuad Systems, C.A. No one on our team will ask you to pay into a personal account. If someone does, don't pay and let us know.
  6. Your payment counts once it reaches our account. Upload your receipt to your case so we can confirm it quickly.
  7. If you pay with Cashea, your installments are with Cashea and follow its terms. With a card, the card details are handled by the payment processor; we never see the full number.
  8. Any fees charged by your bank or payment platform are your responsibility.
  9. We deliver the final result once payment is complete.

7. Timeframes

  1. Catalog timeframes say "On average" because many depend on the agency, not on us. They are counted in business days, unless the procedure page says otherwise.
  2. The clock starts when we have all your documents and your payment.
  3. We notify you in My requests every time your case moves to a new stage.
  4. If the agency is slow, its system goes down or a requirement changes, we let you know and keep pushing your case forward. Those delays are not our responsibility, but your follow-up is.
  5. The law gives the agency a deadline to respond: 20 business days for a request and up to 4 months for a proceeding (articles 5 and 60 of the Ley Orgánica de Procedimientos Administrativos, the Organic Law on Administrative Procedures, and article 51 of the Constitution). If it misses the deadline, we tell you what avenues the law gives you to file a claim.
  6. If the delay is on us, we tell you straight and resolve it at no extra cost to you.

8. What is up to you

  1. Provide us with true, complete documents, on time. Your originals remain yours; we return them when we finish.
  2. Respond when we ask you for something for your case.
  3. Let us know if something important changes: your address, your partners, your business activity.
  4. Tell us where the money comes from when the procedure requires it. The anti-money-laundering law requires us to ask in some cases.

If a procedure is delayed because something is missing on your end, the timeframe runs from when we receive it.

If you don't respond within 30 days, we pause your case and let you know. If 90 days pass with no response, we close it, and the work already done is not refunded. If you come back, we pick it up again with a new quote.

If a document is false, we do not submit it to any agency, we drop the case, and the work already done is not refunded. Using a false document is a crime in Venezuela (articles 319 and 322 of the Código Penal, Venezuela's Penal Code).

9. Refunds

  1. Before we open your case file: we refund 100%.
  2. With the case file open, but before it is submitted to the agency: we refund 50%.
  3. Once submitted to the agency: no refund, but the procedure is completed anyway.
  4. If we are the ones who cannot do the work, we refund 100% of what was not done. If we fail to perform, the law allows you to ask for the agreement to be terminated (article 1.167 of the Código Civil, Venezuela's Civil Code).

The percentages apply to our professional fees. Costs already paid to the agency cannot be refunded, because that money is no longer in our hands.

You request the refund in your case or at info@abogadocomercial.com. We reply within 5 business days at most, and we refund you by the same method you paid with within 10 business days at most. With a card or Cashea, the final timing depends on them.

Plan months already started are not refunded (section 10).

10. Monthly plans

  1. Current plans: Entrepreneur from $100, In Good Standing $199, SME Up to Date $350 and SME Plus $450 a month.
  2. The plan is monitoring and compliance: we keep your calendar, file what is due and alert you before every deadline.
  3. Any one-off procedure (a permit, a license, a registration) is quoted separately, with your 25% subscriber discount.
  4. To start a plan, your company must have its compliance certificates up to date. Don't have them? We get them for you first, and you start with a clean slate.
  5. On the In Good Standing plan, we file based on the figures you give us, already reconciled.
  6. The 3 hours in SME Plus are for advice and guidance in any of the four consulting areas. Drafting contracts, handling lawsuits or representing you is quoted separately.
  7. You can cancel your plan whenever you want. It ends at the close of the month you already paid for, with no penalty.
  8. The plan is paid monthly in advance. We remind you before each month. If payment does not arrive within 5 days, the plan is paused until you pay, and we let you know which deadlines are at risk.
  9. The 25% discount applies to our professional fees, not to agency fees.
  10. Unused SME Plus hours do not roll over to the next month.
  11. You pay the taxes we file for you: the plan covers our work, not the amount of the tax.
  12. If SENIAT (Venezuela's tax and customs authority) or another agency fines you because of a mistake on our part, we pay the fine. If the fine is because the figures or documents did not reach us on time from your side, it is your responsibility.
  13. If we change a plan's price, we notify you 30 days in advance, and you can cancel it with no penalty.

11. Consulting

  1. Free consultation, online or at the office: we guide you on your case.
  2. Advisory session: $50 per hour, with a lawyer, an accountant or whichever professional is needed.
  3. Case review and case execution: quoted separately, depending on what needs to be done.
  4. You book the free consultation in the Agenda (our booking calendar): at the office, by video call, by phone or by WhatsApp. It lasts up to 15 minutes.
  5. Advisory sessions are paid before the session. The first hour is charged in full; after that, by the half hour.
  6. If you can't make it, let us know 24 hours ahead and we'll reschedule at no cost. If you don't show up without notice, the paid hour is forfeited.
  7. What you tell us, even in the free consultation, is protected by professional secrecy (article 25 of the Código de Ética Profesional del Abogado Venezolano, the Code of Professional Ethics for Venezuelan Lawyers).
  8. We do not record the session without your permission, as required by the Ley sobre Protección a la Privacidad de las Comunicaciones (Law on the Protection of Privacy of Communications).
  9. We do not advise both sides of the same matter. If we already serve the other party, we tell you and point you toward another professional.

The guidance in the free consultation is general. Before acting on your case, we first study it in depth.

12. Follow-up included and Digital Notice Board

  1. Follow-up included: everything you handle with us is monitored, with Squuad technology and a person on our team behind it. That includes accounting, legal matters and any document or translation that has an expiration date. We alert you before it expires, calmly and more than once.
  2. In My status you can upload your cédula (Venezuelan national ID card) and other documents so we can monitor them too.
  3. Alerting you is our commitment; renewing is your decision. If you don't renew on time, what happens afterward is not our responsibility.
  4. Digital Notice Board: free for every client, both the screen and the printed label. It shows only the status and validity of the documents you authorize, never the full document. It does not replace the originals.
  5. The Notice Board tells the truth: if a document expires and you don't renew it, it shows that.
  6. Neither one costs you anything extra, whether you have a plan or not. You can turn off the alerts or the Notice Board whenever you want from My account.

13. Dili, our artificial intelligence assistant

  1. Dili guides you only with the information we give it: our FAQs and our procedure pages. It never uses outside sources.
  2. It is not legal or accounting advice, it does not decide anything about your case, and it can make mistakes. Before making an important decision, talk to a person on our team.
  3. Don't write passwords, card numbers or sensitive information to Dili. The conversation is deleted after 2 hours (section 10 of the Privacy policy).
  4. When Dili can't help you, or when it is not available, it hands you over to us on WhatsApp.
  5. We use artificial intelligence under the rules of the Código de Ética para la Inteligencia Artificial (Code of Ethics for Artificial Intelligence) of the Ministerio de Ciencia y Tecnología (Ministry of Science and Technology): always with a responsible person behind it.

14. Recommend and earn benefits

  1. Everyone who creates an account receives a 5 USD welcome credit in rewards. If they create it with a member's link, they receive 10 USD instead. Welcome credits do not add up.
  2. For each new person you recommend, your wallet is loaded with 20 USD when that person makes their first payment of 50 USD or more. There is no limit on the number of people you can recommend.
  3. Rewards only pay our fees, not government fees. They cannot be exchanged for money or transferred to another account.
  4. The welcome credit is used on a payment of 50 USD or more and expires after 90 days. The 20 USD referral reward expires after 12 months.
  5. Only one welcome credit is given per person, phone number and email. Duplicate accounts, or accounts created to take advantage of the program, go to review and may be cancelled.
  6. Only recommend people who know you are recommending them and agree to be contacted by us.
  7. If someone recommends themselves or sets up fake recommendations, the benefit is voided.
  8. If the payment that unlocked a reward is refunded or cancelled, the reward is removed.
  9. If we change the program, we will let you know 30 days in advance. What you already earned is honored until it expires.

15. Reviews

  1. Your review must describe a real experience with us.
  2. It is published with your name and the initial of your last name (section 8 of the Privacy policy).
  3. We publish all real reviews, good and bad. We don't delete a review for being negative.
  4. We don't publish fake or offensive reviews, or reviews containing other people's personal data.
  5. We never pay for reviews or write reviews in clients' names.
  6. If you criticize us, we respond respectfully, in public and in private.
  7. You can ask us to delete your review whenever you want.

16. Templates and portal content

  1. The portal's templates, guides, FAQs and texts belong to Abogado Comercial and are protected by the Ley sobre el Derecho de Autor (Copyright Law).
  2. You can use the templates for free for your own matters and your clients', even if you are a lawyer or an accountant.
  3. You may not sell them, copy the portal or present them as your own.
  4. The Abogado Comercial name and logo are ours. They may not be used without written permission.
  5. A template is a general model. For a document to have legal effect at a registry or before a notary office, it must be drafted and given a visado (a lawyer's sign-off, required before filing) by a lawyer registered with Inpreabogado (Venezuela's national lawyer registry).

17. The limits of our liability

  1. We are liable for the service you hired, up to the amount you paid for that service, except for what we promise about fines in section 10.
  2. We are not liable for decisions, delays or changes by agencies and courts, or for failures in their systems.
  3. We are not liable for anything that goes wrong because of false or incomplete documents or information you give us.
  4. We are not liable for fortuitous events or force majeure (article 1.272 of the Código Civil, Venezuela's Civil Code): widespread power or internet outages, natural disasters or changes in the law.

None of this takes away the rights the law gives you as someone who hires a service.

18. Proper use of the portal

The following is not allowed:

  1. Using the portal for anything unlawful or to impersonate another person.
  2. Trying to access areas you are not authorized to enter, damaging the system or uploading files with viruses.
  3. Copying the portal en masse with automated programs.
  4. Using Dili or the chat for purposes other than your case.

These acts are crimes under the Ley Especial contra los Delitos Informáticos (Special Law Against Computer Crimes), for example, unauthorized access and sabotage (articles 6 and 7). If it happens, we close the account, notify you and, if necessary, report it to the authorities.

19. Your data

How we look after your data is set out in our Privacy policy, which is part of these terms. You accept it along with these terms when you check the box while creating your account.

20. Changes

  1. If we change these terms, we put the new date at the top.
  2. If the change is significant, we notify you by email and in your account 15 days before it takes effect.
  3. What you have already hired stays under the terms in effect on the day you hired it.
  4. If you don't agree with the change, you can cancel your plan or close your account with no penalty.
  5. We keep previous versions, and we'll give you whichever one you ask for.

21. Governing law and courts

These terms are governed by the laws of the Bolivarian Republic of Venezuela.

  1. If a disagreement arises, we first talk it through to resolve it in good faith.
  2. If it is not resolved, we can go to conciliation or mediation before going to court.
  3. If it is still not resolved, we elect the city of Maracay, Aragua State, as our special domicile (domicilio especial) and take the matter to its courts (article 32 of the Código Civil, Venezuela's Civil Code).

Nothing in this takes away your right to go to the agencies that protect people who hire services.

22. Contact
