Contract addendum
The document that modifies, adds to or supplements clauses of an existing contract, without having to redo the whole thing. It's attached to the original contract and becomes part of it; the tricky part is drafting it so it doesn't contradict the original or leave gaps.

FAQ
What happens if I change the terms verbally or by text message?
What isn't in the contract doesn't exist for third parties or before a judge. When a claim comes, the signed paper counts, not the deal over WhatsApp.
Does the addendum replace the contract?
No, it supplements it; everything it doesn't touch remains in force.
How much does it cost?
The professional fee, from $45, covers drafting and authentication; the official notary fee is separate.
How many addendums can a contract have?
As many as needed, though with many the contract gets hard to read; sometimes it's better to redo it.
Does everyone have to sign it, and should it be authenticated?
Yes, all parties to the original contract, and it's best to authenticate it so it carries the same weight as the contract.
About this procedure
An addendum (adendum, also called adenda) is the document in which the parties to a contract already signed agree to modify, add to or supplement any of its clauses, without drafting a new contract from scratch. It's attached to the original contract and becomes an integral part of it. It's used constantly in real life: raising or lowering the rent on a lease, expanding the scope of a services agreement, changing a payment method, adding a party, adjusting a deadline. The advantage is that it keeps everything already agreed and only touches what changes. The delicate point, and where we put our care, is consistency: a poorly drafted addendum can contradict the original contract and raise doubts about which clause governs. That's why we draft it identifying precisely the contract being modified, its date, the parties and exactly which clauses are changed or added, making clear that everything else remains in force. Then we authenticate it at the Notaría Pública (government notary office) to give it the same weight and fecha cierta (a legally certain date, so the document holds up against third parties) as the original contract. If, instead of changing the contract, you need to clarify something left ambiguous, see the Clarification deed (aclaratoria); if you want to extend its term, see the Contract extension.
Legal framework and important notes
Ley de Registros y Notarías (Registries and Notaries Law) · Código Civil (Civil Code)
- The biggest risk is contradiction. An addendum that clashes with a clause of the original contract and doesn't say which one prevails raises doubts about which clause governs
- We always state what changes, what stays and that the addendum prevails over what it modifies
We guarantee our service, not what the agency decides. If something depends on them, we tell you clearly and in time.
