FAQ
What happens if I keep operating under a name I no longer use?
Your invoices, contracts and accounts are in the name of something that doesn't match what your clients see, and that triggers objections at banks and with SENIAT.
Does the price include the official registry fee?
No. The professional fee, from $140, covers our handling; the Registry's fee and the publication are paid separately, based on the number of pages.
Why does the name have to be reserved?
Because the new name must be available; the same search is done as when you incorporate. That's why we ask you for two or three options, in case the first is taken.
Does changing the name affect the RIF or the bank accounts?
Yes, they have to be updated afterward; we guide you through that trail of updates.
Do I lose my company's years in business?
No, it's the same company; only the name changes.
Does the name change register my trademark?
No, trademark registration is a separate procedure with SAPI.
About this procedure
A company name change (denominación) means changing the name, or razón social (legal business name), of a company that already exists. It sounds simple, but it has two particulars worth knowing. First: before changing the name, you have to reserve it, meaning you run the company name search with SAREN to confirm the new name is available and no one else has it, exactly as when you incorporate a company from scratch. That preliminary step is what sets this procedure apart from other bylaws changes. Second: the name change sets off a trail of updates. Once it's recorded, you have to update the RIF (Venezuelan tax ID) with SENIAT, notify the bank about your accounts, update the license at city hall, and notify suppliers and clients. If you don't close out that trail, you end up with half-updated documents that don't match. We take care of the whole process: we reserve the new name, draft the extraordinary shareholders' meeting minutes, record them, and guide you step by step through the follow-up updates so the new name is flawless everywhere. You sign, and we hand you your company with its new name, all in order.
Legal framework and important notes
Código de Comercio (Commercial Code), articles 202 and 221 · Ley de Registros y Notarías (Registries and Notaries Law), article 85
- The company remains the same legal entity. The name changes, not its years in business or the RIF itself
- What people forget most is the trail of updates after recording; if you don't close it out, you end up with documents that don't match
- If the new name is your brand, protect it separately with SAPI
- It doesn't pay the 2 percent official registry fee
We guarantee our service, not what the agency decides. If something depends on them, we tell you clearly and in time.
