It's the procedure to change the name or razón social of an existing company. It involves reserving the new name with SAREN, approving the change at a shareholders' meeting and drafting the minutes, and recording them at the Commercial Registry. We handle the entire process, from start to finish.

FAQ
What happens if my company's legal name is different from the one clients know?
Invoices, contracts and accounts go out under a name nobody recognizes, which costs you credibility and triggers objections at banks and government agencies.
How much does it cost?
The professional fee, from $140, covers reserving the new name, the minutes and the handling; the Registry's fee and the publication are paid separately, based on the number of pages.
Is it the same as a change of denominación?
Yes, it's the same procedure; denominación is the legal term for the company's name.
Can I choose any name?
It must be available with SAREN; that's why we ask you for alternatives.
Is only the name changed, or other things too?
You can use the same meeting to also change the corporate purpose or registered address, and each additional item gets a discount on the first.
Does changing the name protect my brand?
No. The name at the Registry and the trademark are different things; protecting the trademark is a separate procedure with SAPI (Venezuela's intellectual property office).
About this procedure
Changing your company's name, which legally means changing its denominación (legal company name) or razón social, is more than signing a document. The full process has several steps that must be done in order: first, the new name is reserved with SAREN, just like when you incorporate a company, to make sure it's available and doesn't clash with another; then the shareholders approve the change at a meeting and the corresponding minutes are drafted; and finally those minutes are recorded at the Commercial Registry, which makes the new name official. After that, it's best to update it wherever needed: RIF (Venezuelan tax ID), accounts, invoicing, permits. It's a very common request when a company changes owners, line of business or brand, or simply wants a fresh start. Important note: this procedure is the same one some offices call Company name change (denominación); if you searched under that name, you're in the right place, it's exactly what we do here. We take care of the whole process, the reservation, the minutes and the recording, so you don't have to go from one government window to the next.
Legal framework and important notes
Código de Comercio (Commercial Code), articles 26 and 202 · Ley de Registros y Notarías (Registries and Notaries Law), article 85
- Have two or three name options ready, because the first may not be available with SAREN
- Remember that changing the name at the Commercial Registry is the legal step, but afterward it has to be updated on the RIF, with the bank and on your invoicing so everything is consistent; we help you with that
- And if you searched for this as "change of denominación," it's exactly the same procedure
We guarantee our service, not what the agency decides. If something depends on them, we tell you clearly and in time.
