FAQ
What happens if I buy a trademark and don't record the assignment?
You can't renew it or defend it in your name: with SAPI and third parties, the owner is still the seller. The contract alone isn't enough.
Is the sale contract enough?
No: the assignment has to be recorded at SAPI to be valid against third parties.
How much does it cost?
The professional fee from $150 covers reviewing the assignment document and recording it at SAPI; drafting the contract and SAPI's fee are paid separately.
Does it work for franchises and business sales?
Yes, it's key in those transactions.
What do I need?
The trademark certificate and the details of the assignor and the assignee.
About this procedure
A registered trademark is an asset, and like any asset it can be sold, assigned or contributed to a company. But for that transfer to be legally valid against everyone, signing a contract between the parties isn't enough: the assignment has to be recorded at SAPI. Until it's recorded, the register still shows the original seller as the owner, and that leaves the buyer in a fragile position, with a trademark they paid for that legally isn't theirs yet.
That gap creates real headaches: the new owner can't renew, defend or license the trademark in their own name, and if the original assignor disappears, goes bankrupt or acts in bad faith, the buyer is exposed. In business sales, franchises or corporate restructurings, a trademark whose assignment was never recorded is a ticking time bomb that goes off right when a clean title is needed. Recording the assignment is what truly closes the deal.
We formalize the transfer: we review the assignment document, verify that the trademark is in order to be transferred, and handle recording the assignment at SAPI so the new ownership is registered and enforceable against third parties. The price starts at $150 and is adjusted to the case. A lawyer reviews your situation and confirms with you before we start, no strings attached.
Legal framework and important notes
Ley de Propiedad Industrial (Industrial Property Law)
- It records the transfer of trademark ownership through a sale, contribution or restructuring.
- Without that recording, the transfer isn't enforceable against third parties and the new owner can't renew, defend or license in their own name.
- It's different from Trademark ownership change (same owner, new details) and from a Trademark license, which doesn't transfer ownership.
- SAPI's fees are paid separately.
We guarantee our service, not what the agency decides. If something depends on them, we tell you clearly and in time.
