What it costs and how to pay
There are two separate payments, and we want you to see them clearly.
Our fee: we do all the work for you.
The official registry fee. It goes straight to the agency, and we give you the exact amount, with its receipt, before you pay anything.
How you pay: 50% when we start and 50% on delivery. In dollars, in bolívares at the official BCV exchange rate, or with Cashea.
How is your investment calculated?
Your investment has two parts, and we want you to see them clearly from the start. What you pay us, our professional fee for handling the process, from $150. That's what it costs for us to do all the work for you.
What goes to the government, the official Commercial Registry fee. That money doesn't stay with us; it goes straight to the Registry. For a firma personal, the fee is lower than for a company. It starts at a minimum of about $6 to $15 for the recording and goes up with the number of pages in the document. Adding copies and stamping of the books, the total official fees are usually considerably lower than for a company. Why don't we give you a single fixed price? Because the government fee changes with your activity and the number of pages in your document. A simple document is not the same as one with a broader scope. Giving you a fixed number would be misleading you. The amounts you see here are a base estimate so you have a realistic idea. Our lawyer gives you the exact calculation — professional fee and official fees — before you pay anything, always with no strings attached.
FAQ
What happens if I invoice without being registered?
You can't issue a legal invoice, you're exposed to SENIAT and formal clients won't hire you. A firma personal is the fastest, most affordable way out of that situation.
Does the price include the registry costs?
No. The professional fee from $150 covers our work; official fees and revenue stamps are paid separately. We tell you the amounts before we start.
Do I need partners?
No. A firma personal is individual, with a single owner.
Do I need a comisario?
No, unlike a compañía anónima.
Am I liable with my own assets?
Yes, there's no separation between your assets and the business. If that worries you, let's look at a C.A.
Can I convert it into a company later?
Yes, many people start with a firma personal and later form a company.
About this procedure
If you're going into business on your own, the firma personal is where you start. It's the fastest and most affordable way to formalize: it lets you issue invoices, open a bank account and work with your clients legally, with no need for partners or a comisario (statutory auditor).
We take care of everything: we check and reserve your name, draft the document, submit the file to the Commercial Registry and stay with you at the signing.
Keep in mind that with a firma personal, you're liable with your personal assets, because there's no separation between you and the business. If your project is going to grow or take on partners, let's talk: a compañía anónima (C.A., a Venezuelan corporation) may suit you better. We'll advise you, no strings attached.
