Loan agreement (mutuo)
One party lends money to another, who commits to paying it back within a set term, with or without interest. Also called mutuo. It's authenticated before the notary to give it fecha cierta and the force to collect; the interest must respect the legal limits.

FAQ
What happens if I lend money without a contract?
Collecting comes down to your word against theirs. Without a document there's no term, no proven interest and nothing to make a claim with; the lender ends up begging.
Can I charge interest?
Yes, but within the legal limits; going over is usury, which is a crime.
How much does it cost?
The professional fee, from $55, covers drafting and authentication; the official notary fee is separate, and court collection if they default is a separate service.
Does it have to be authenticated?
It's not mandatory, but it gives it fecha cierta and much more force to collect; an authenticated contract is solid evidence for a claim.
Do I need collateral?
Not for this one; if you want it, see the Secured loan agreement.
Do you have an agreement for lenders?
Yes, Financial Partners.
About this procedure
A loan agreement, or mutuo, is the document in which one person, the lender (prestamista or mutuante), hands a sum of money to another, the borrower (prestatario), who is bound to repay it within the agreed term, with or without interest. It's one of the most common contracts and also one of those that cause the most trouble when they're done on a handshake or on a makeshift piece of paper: without a clear document with fecha cierta, collecting becomes a nightmare. That's why we draft it making the amount, the term, the payment terms, the installments if any and the consequences of default crystal clear, and we have it authenticated before the notary so it has fecha cierta and serves as solid evidence if you need to make a claim. Now, the most delicate point, and where a good lawyer makes the difference, is the interest: in Venezuela usury is a criminal offense punishable by prison, and there are legal limits on the rate that can be charged. A loan with interest above what the law allows can not only be voided, it can get whoever charges it into criminal trouble. We draft the contract with interest within the permitted limits, protecting you on both sides. And if your business is lending or financing, this is your day-to-day: that's why we offer our Financial Partners agreement, with a preferred volume rate for finance companies, cooperatives, pawnshops and private lenders.
Legal framework and important notes
Ley de Registros y Notarías (Registries and Notaries Law) · Código Civil (Civil Code)
- The point you can't overlook is interest. In Venezuela usury is a criminal offense, so a loan at a rate above what the law allows can cost you dearly
- That's why we draft it within the limits
- A handshake loan is almost impossible to collect; the authenticated document is your backing
- And if your business is lending, ask about Financial Partners
We guarantee our service, not what the agency decides. If something depends on them, we tell you clearly and in time.
