FAQ

What happens if I work with a provider without a contract?

In a claim, the relationship can be read as employment and the LOTTT can reclassify it: prestaciones sociales, utilidades (mandatory profit-sharing bonus) and fines for someone who was never your employee.

Is a services agreement an employment contract?

No; it's civil or commercial, and the provider is independent.

How much does it cost?

The professional fee, from $60, covers drafting that makes the independence clear, plus the authentication; the official notary fee is separate.

How do you avoid the risk?

By drafting it to make the independence clear and authenticating it before the notary, which is exactly what we do.

Do you have an agreement for companies?

Yes, the Outsourced Legal Department.

About this procedure

A services agreement, or professional services agreement, is a contract in which an independent professional or company commits to providing a service, consulting, advisory work, maintenance, technical, accounting or marketing services, in exchange for fees, without subordination. It's a civil or commercial contract, not an employment one. And here's the point that makes or breaks this contract: it's the one most easily confused with an employment relationship. If, in practice, the service provider keeps set hours, receives direct instructions and depends financially on a single client, a court can apply the presumption in Venezuela's labor law, the LOTTT, and reclassify the relationship as employment, with all the prestaciones sociales (severance benefits accrued by law), lawsuits and penalties that come with it, even if the paperwork says services agreement. That's why we draft it locking in the provider's independence, along with the purpose of the service, the fees and how they're paid, the deadlines, confidentiality and ownership of the work product. The contract is authenticated before the notary to give it fecha cierta (a legally certain date, so the document holds up against third parties) and legal force. It's a service companies use constantly for their vendors and consultants; that's why, if your company signs in volume, we offer our Outsourced Legal Department agreement: your full legal department, without the payroll cost of an in-house lawyer.
