FAQ
What happens if I hire staff without a written contract?
The law presumes the relationship is indefinite and on the terms the employee says; without a document, you have no way to prove the agreed term, position or salary.
Which type is right for me?
It depends on the case; we advise you on indefinite-term, fixed-term or project-based.
How much does it cost?
The professional fee, from $60, covers drafting under the LOTTT and the authentication; the official notary fee is separate.
Does a fixed-term contract have a limit?
Yes, one year, and on the second extension it becomes indefinite.
Does it have to be authenticated?
It's not mandatory, but it gives it fecha cierta and more security if there's a claim.
Do I have to notify the Ministry of Labor?
It's usually necessary; we guide you. And for companies, we have the Outsourced Legal Department agreement.
About this procedure
The authenticated employment contract is the document that formalizes an employment relationship between an employer and an employee, drafted under the Ley Orgánica del Trabajo, los Trabajadores y las Trabajadoras, the LOTTT. Unlike a construction and works contract or a services agreement, which are civil or commercial and involve no subordination, this contract DOES recognize an employment relationship, with set hours, dependence and a salary, and so it triggers all labor rights and obligations. The LOTTT provides for three types, and choosing well is key: indefinite-term, which is the general rule; fixed-term, which can't exceed one year and becomes indefinite on the second extension; and for a specific project, widely used in construction, which also becomes indefinite if it's chained to another project within three months. Drafting it badly, with the wrong type or without the terms the law requires, creates serious liabilities for the company. We draft it in the right type, with the position, salary, working hours, duties and benefits as the law requires, and we have it authenticated before the notary to give it fecha cierta. Keep in mind that the employment contract is also usually reported to the Ministry of Labor, and the employee registered with the IVSS (Venezuelan Social Security Institute); we guide you on that. And if your company hires staff often, we offer our Outsourced Legal Department agreement: your full legal department, without the payroll cost of an in-house lawyer.
Legal framework and important notes
Ley de Registros y Notarías (Registries and Notaries Law) · Código Civil (Civil Code) · Ley Orgánica del Trabajo (LOTTT, Venezuela's labor law)
- Unlike a construction and works contract or a services agreement, this one IS an employment contract, with all the rights under the LOTTT; don't use it to disguise outsourcing
- Choosing the right type is key. A poorly managed fixed-term contract becomes indefinite
- Remember the Ministry of Labor notification and the IVSS registration
- And if your company hires in volume, ask about the Outsourced Legal Department
We guarantee our service, not what the agency decides. If something depends on them, we tell you clearly and in time.
