Recording a power of attorney at the Commercial Registry
We record your power of attorney at the Commercial Registry. Important: the power of attorney is granted at a notary office; that's the first step. Recording it afterwards at the registry makes it airtight, because the attorney-in-fact no longer has to carry the original document to prove their authority.

About this procedure
Here's a point that confuses a lot of people, so let's clear it up right away: a company power of attorney is granted at the notary office. That's the act in which the company authorizes a person, the attorney-in-fact, to represent it, sign contracts, operate accounts or dispose of assets. This service is NOT that granting. This service is the next step: recording that already-granted power of attorney at the Commercial Registry. Why record it? Because once a general power of attorney is recorded at the registry, it's under the protection of the courts and the registry's presumption of validity applies: the attorney-in-fact no longer has to carry the original document around or explain who granted the power; the recording is enough. That cuts down on hassles with banks, courts and third parties, and it's very useful if a dispute ever arises. We check that the power of attorney was properly granted, file it at the Commercial Registry and hand it back to you recorded. If you haven't granted the power of attorney at a notary office yet, don't worry: we'll take you to our Notary offices section so you can do that step first, and then you come back to record it here.
Legal framework and important notes
Código de Comercio (Commercial Code), article 20 · Ley de Registros y Notarías (Registries and Notaries Law), article 85
- The most common mistake is thinking the power of attorney is created here. It isn't. The power of attorney is granted at a notary office, and this service only records it at the registry

- Recording a power of attorney carries a lower official fee than shareholders' meeting minutes
