FAQ
What happens if I contribute assets to the capital without an endorsed inventory?
The Registry rejects the in-kind contribution or objects to it later, and your capital is on shaky ground from day one. The inventory signed by an accountant is what gives it substance.
When is it needed?
In incorporations with an in-kind contribution, or to put the initial asset inventory on record.
How much does it cost?
The professional fee, from $65, covers preparation and the licensed accountant's signature; valuation of complex assets is quoted separately.
Why does the Registry ask for it?
So that capital contributed in assets has real substance.
Does it need an accountant's signature?
Yes, when there are in-kind contributions, the professional endorsement is key.
About this procedure
An opening inventory is the detailed list of the assets a company starts its accounting life with. It comes up at two very specific moments: when a company is incorporated and part of the capital is contributed in assets instead of money, the well-known in-kind contribution; and when a company that already existed needs to put on record, for accounting purposes, the assets it starts a new fiscal year or a new stage with.
The important detail is that when there are in-kind contributions, the Registro Mercantil requires those assets to be properly inventoried and backed by a public accountant, so the declared capital has real substance and isn't just an inflated number on paper. A poorly done opening inventory, or one without professional backing, is one of the reasons an incorporation filing gets stuck or objected to.
We prepare the opening inventory: we list and value the assets, structure it the way the Registry requires, and back it with the signature of a licensed public accountant. The price starts at $65 and goes up with the number and complexity of the assets. An accountant reviews your case and gives you the exact figure before we start, no strings attached.
Legal framework and important notes
Código Orgánico Tributario (Organic Tax Code) · Código de Comercio (Commercial Code) · Constitución de la República Bolivariana de Venezuela (Constitution of the Bolivarian Republic of Venezuela)
- The opening inventory lists and values the assets a company starts its accounting with; when there's an in-kind contribution, the Registro Mercantil requires it to be backed by a public accountant
- It's different from the opening balance sheet and from recording the incorporation at the registry, which are handled separately
