FAQ
What happens if I try to open an account or a subsidiary abroad with articles of incorporation that aren't legalized?
To the foreign bank or registry, your company doesn't exist. Legalized and apostilled articles of incorporation are your company's birth certificate abroad.
Why legalize the articles of incorporation?
So your company can open an account or a subsidiary, or sign contracts abroad.
How much does it cost?
The professional fee, from $45, covers the legalization through SAREN and the apostille; official registry fees, which depend on the number of pages, are separate.
Are legalization and apostille the same thing?
They're stages of the same process so the document is valid abroad; we do both.
What does the timing depend on?
On the number of pages in the document; that's why the estimate is 3 to 6 business days.
About this procedure
The acta constitutiva (articles of incorporation and bylaws, one single document in Venezuela) is your company's birth certificate: it sets out its purpose, capital, shareholders and bylaws. When the company needs to operate outside the country, open a subsidiary or branch, open a bank account abroad, take part in an international tender or receive investment, it's almost always required to present its articles of incorporation, legalized and apostilled. The correct chain starts at the Registro Mercantil (Commercial Registry) that recorded them, goes through SAREN and ends with the apostille (Hague Convention certification for use abroad) issued by the MPPRE (Venezuela's Ministry of Foreign Affairs). We handle the whole chain: we request the certified copy from the Commercial Registry, handle the legalization (official verification of a signature or document) through SAREN's digital system and process the apostille. We hand you the document ready to present wherever you need it, without you wasting time going from window to window.
Legal framework and important notes
Ley de Registros y Notarías (Registries and Notaries Law) · Código Civil (Civil Code) · Código de Comercio (Commercial Code) · 1961 Hague Apostille Convention
- We start from the document already recorded or certified.
- The chain is Commercial Registry, SAREN and apostille from the MPPRE.
- If the details don't match the system, the procedure is rejected; that's why we check first.
We guarantee our service, not what the agency decides. If something depends on them, we tell you clearly and in time.
