FAQ

What happens if I run the foundation without registering it?

It doesn't exist: it can't open an account, receive formal donations or sign anything. Once registered, it's born with legal personality and up to date with the new NGO law.

How do I legally form a foundation or association?

We draft the document and record it at the Registro Principal (Main Registry of each state).

How much does it cost?

Professional fees from $60 cover drafting the bylaws and the recording; the registry's official fee is separate.

Do I need to bring the bylaws into line with the new law?

Yes, we draft them in line with current regulations from the start.

What does the timing depend on?

On the Registro Principal's workload; the estimate is 4 to 8 business days.

About this procedure

Forming a civil association or foundation isn't just drafting a document: the organization only comes into existence with legal personality when its articles of incorporation are recorded at the registry. Under the new Ley de Fiscalización de ONG (NGO oversight law), in force since November 2024, SAREN is the authority that grants that legal personality, and the articles must meet precise content requirements (name, purpose, governing bodies, assets and more), or the registry objects to them. We handle the whole process: we draft or review the articles of incorporation and bylaws so they comply with current law, check that the name is available, gather the members' cédulas (Venezuelan national ID cards) and RIFs (Venezuelan tax IDs), and handle the recording at the registry. We stay with you until your organization is legally formed and ready to operate, open a bank account and receive contributions. A lawyer guides you from the very first step.
