FAQ
What happens if my NGO keeps its old bylaws?
Under the new NGO law, an organization that hasn't updated them is exposed to penalties and to having procedures denied. The recorded amendment keeps it current and protected.
How do I amend my NGO's bylaws?
We draft the amendment and record it so it's in force and enforceable against third parties.
How much does it cost?
The professional fee, from $45, covers drafting the amendment and recording it with SAREN; the registry's official fee is separate.
Is it mandatory to bring them into line with the new law?
In many cases, yes; we review and adjust them with you.
What does the timing depend on?
On the workload of the Registro Principal (Main Registry of each state); the estimate is 4 to 8 business days.
About this procedure
A bylaws amendment is how an NGO changes its internal rules: its purpose, governing bodies, assets, term or any other clause. Under the new Ley de Fiscalización de ONG (NGO oversight law), many organizations are required to update their bylaws and bring them into line with current rules, and every amendment must be recorded with SAREN to be valid; if it isn't, the organization is exposed to objections and penalties. We draft or review the amendment minutes so they comply with the law, check that the meeting that approved the amendment was properly documented, and handle the recording at the Registry. We stay with you until the amendment is recorded and your bylaws are in force. This procedure is part of the registry upkeep the new law made constant; if you'd like, we can handle all that compliance for you on an ongoing basis, as your partner.
Legal framework and important notes
Ley de Registros y Notarías (Registries and Notaries Law) · Código Civil (Civil Code)
- The new Ley de Fiscalización de ONG, from November 2024, turned registration into a recurring task — bylaws, meetings, appointments, inventories and donations.
- Keeping everything up to date avoids objections and penalties.
- SAREN is the competent authority.
We guarantee our service, not what the agency decides. If something depends on them, we tell you clearly and in time.
