Mutual termination of a contract
The parties to a contract agree to end it by mutual agreement, before it would naturally expire. What matters isn't just ending it, but properly closing out the pending accounts and obligations.

FAQ
What happens if we end the contract with just a verbal agreement?
It stays open forever: either party can come back later with a claim for payments, damages or the surety (fianza) that backed the contract. A termination with a release closes that door.
Does it work if the other party doesn't want to end it?
No, this termination is by mutual agreement; without agreement, the way out may be through the courts.
How much does it cost?
The professional fee, from $45, covers drafting with a release and the authentication; the official notary fee is separate.
Why include the release?
So that neither party can make a claim under that contract later.
Is the surety released?
If a guarantor backed the contract, the document states that their surety is released, and all parties sign, including the guarantor.
About this procedure
A mutual termination of a contract, also known in practice as termination by mutual agreement or mutuo disenso, is the document through which the parties to a contract agree to end it before its term runs out or its purpose is fulfilled. Just as a contract is born from an agreement between the parties, that same agreement can undo it. It's used when both parties decide they no longer want to continue: a lease ended early by common agreement, a services agreement that no longer works for either side, an informal partnership being dissolved. What really matters in a good termination isn't just stating that the contract ends, but closing out what's still pending in an orderly way: which payments are owed to date, who returns what, which guarantees are released, and a statement that the parties have no further claims against each other under that contract (the so-called release, finiquito or paz y salvo). Without that close-out, one party can end the contract today and show up with a claim tomorrow. We draft the termination with those points tied down and authenticate it to give it fecha cierta (a legally certain date, so the document holds up against third parties). If what you want is to change or extend the contract rather than end it, take a look at Contract addendum or Contract extension.
Legal framework and important notes
Ley de Registros y Notarías (Registries and Notaries Law) · Código Civil (Civil Code)
- Ending a contract without closing out the accounts leaves the door open to a future claim
- The key to a good termination is the release (finiquito). The statement that the parties have no further claims against each other
- We never leave it out
We guarantee our service, not what the agency decides. If something depends on them, we tell you clearly and in time.
