Registered address change
If your company has moved, the address on record at the registry must reflect that. Heads-up: moving within the same jurisdiction takes simple minutes, but moving to another state requires transferring the entire company file to another Commercial Registry.

What it costs and how to pay
There are two separate payments, and we want you to see them clearly.
Our fee: we do all the work for you.
The official registry fee. It goes straight to the agency, and we give you the exact amount, with its receipt, before you pay anything.
How you pay: 50% when we start and 50% on delivery. In dollars, in bolívares at the official BCV exchange rate, or with Cashea.
How is your investment calculated?
Your investment has two parts, and we always show them to you separately. Our professional fee, from $130, for the minutes and the handling within the same registry district
The Commercial Registry's official registry fee, a flat filing fee for the minutes of about $57 to $60, plus about $3 per page. If your move crosses into another state, add the transfer of the company file, whose official registry fee is several times that of standard minutes; in that case we quote you the total before we start. No percentage is charged. No strings attached Your lawyer gives you the exact figure before you pay anything, no strings attached.
FAQ
What happens if I moved and don't change it?
Notices from SENIAT and the courts keep going to the old address, and you find out late or not at all. That's the real risk of not updating it.
Does the price include the official registry fee?
No. The professional fee, from $130, covers our handling; the Registry's fee is paid separately. A transfer to another state is quoted separately because it involves more work.
Is the registry address the same as the tax address?
No. The registry one is the address in your bylaws, and the tax address is updated separately with SENIAT; we guide you on both.
What happens if I move to another state?
The competent registry changes and the entire company file has to be transferred, which takes longer and costs more.
And if I move within the same state?
It takes simple minutes with the standard official registry fee.
Do I need to change my municipal license?
Yes, if you changed municipalities.
About this procedure
A company's registered address isn't a decorative detail: it determines which Commercial Registry has jurisdiction over all its filings, and it appears on every document the company signs. When the company moves and the registry still shows the old address, the hurdles start with banks, public tenders and municipal agencies. Now, there are two very different scenarios here that are worth telling apart from the start. The first: you move within the same registry district, for example from one municipality to another in the same state. That case takes simple extraordinary shareholders' meeting minutes, with the standard official registry fee for minutes. The second: you move to another state. There, the competent Commercial Registry changes, and the minutes aren't enough: you have to request the transfer of the company's entire file, with its full registry history, from the registry of origin to the registry of the new address. That process takes longer, and its official registry fee is considerably higher than for standard minutes. We handle both scenarios: we tell you from the start which one you're in, what it costs and how long it takes, with no surprises halfway through. We also guide you on the follow-up update of your tax address with SENIAT (Venezuela's tax and customs authority), which is a different procedure and runs on its own track.
Legal framework and important notes
Código de Comercio (Commercial Code), articles 215 and 221 · Ley de Registros y Notarías (Registries and Notaries Law), article 85
- What drives up the cost of this procedure the most is moving to another registry district. Then the minutes aren't enough; the entire company file has to be moved and the official registry fee goes up several times over
- That's why we tell you from day one which scenario you're in
- Remember that the RIF's tax address is updated separately with SENIAT
- It doesn't pay the 2 percent official registry fee
We guarantee our service, not what the agency decides. If something depends on them, we tell you clearly and in time.
