Change or expansion of corporate purpose
Your company can only legally do what its corporate purpose says. If you're moving into a new activity that isn't in your bylaws, the purpose has to be expanded first. We draft the new purpose and the minutes, and get it recorded.

FAQ
What happens if I run an activity that isn't in my corporate purpose?
Your company can only legally do what its purpose allows. Operating outside it gets you objections from the bank, from SENIAT and in any public tender or permit you apply for.
Does the price include the registry fee?
No. The professional fee from $130 covers the handling; the registry fee and the publication are paid separately.
What's the difference between changing and expanding?
Changing replaces the activity; expanding adds new ones without removing the old ones. Expanding is almost always the better choice.
Does this change my RIF?
You may need to update it with SENIAT so it matches; we'll guide you.
Do I need new permits?
It depends on the activity; some require health, fire safety or environmental permits, and those are separate.
About this procedure
The corporate purpose is the activity your company was created for, and it's defined in its bylaws. Here's the point many business owners discover too late: a company cannot legally carry out activities that fall outside its corporate purpose. Say your company was set up to sell clothing, and today it wants to offer food services, import goods or do construction. If those activities aren't in its purpose, you're operating outside what the registry authorizes. That can hold up contracts, public tenders, your relationship with the bank and even your RIF (Venezuelan tax ID), because the activity on record doesn't match what you actually do. The fix is to change the purpose, if you're moving into something different, or expand it, if you want to add new activities without dropping the old ones. It's a targeted bylaws amendment: it touches a single article. We draft the new purpose with the right scope, not so narrow that it limits you and not so vague that the registrar objects to it. We prepare the extraordinary shareholders' meeting minutes and get them recorded. Your company is then cleared to operate in its new activity.
Legal framework and important notes
Código de Comercio (Commercial Code), articles 200 and 221 · Ley de Registros y Notarías (Registries and Notaries Law), article 85
- The purpose should be worded neither too narrow, which limits you down the road, nor too vague, which invites objections from the registrar. Getting that balance right is where a lawyer helps
- After the change, you'll usually need to update your RIF so your tax activity matches
- A change of purpose is not subject to the 2 percent registry fee
We guarantee our service, not what the agency decides. If something depends on them, we tell you clearly and in time.
