Construction and works contract
It hires an independent contractor to carry out a work (a construction, a remodeling or a specific job) in exchange for a price. It's a civil or commercial contract, not an employment one, and it has to be drafted that way so it isn't exposed to reclassification.

FAQ
What happens if I hire the work out without a contract or with a poorly drafted one?
Two risks: the work runs late or turns out badly and you have no way to demand anything, and the relationship looks like employment and the LOTTT reclassifies it, with all the liabilities that brings.
Is a construction and works contract an employment contract?
No; it's civil or commercial, and the contractor is independent. That's why how it's drafted matters.
How much does it cost?
The professional fee, from $65, covers drafting tailored to the work and the authentication; the official notary fee is separate.
Does it work for construction?
Yes, that's its typical use, and it's authenticated before the notary.
Do you have an agreement for companies?
Yes, the Outsourced Legal Department.
About this procedure
A construction and works contract is the one in which a person or company, the contractor, commits to carrying out a specific work, a construction, a remodeling, a particular job, in exchange for a price, using their own organization and taking on the risk of the result. It's a civil or commercial contract, not an employment one: the contractor is independent, not a subordinate employee. And here's the critical point a good lawyer can't overlook: if the contract is poorly drafted and, in practice, the contractor works like an employee, with set hours, instructions and dependence, Venezuela's labor law, the LOTTT, presumes there's an employment relationship regardless of what the document is called, and the company is exposed to prestaciones sociales (severance benefits accrued by law), lawsuits and penalties. That's why we draft it making the contractor's independence crystal clear, along with the scope of the work, the price and how it's paid, the deadlines, the guarantees and the penalties for non-performance or delay. The contract is authenticated before the notary to give it fecha cierta (a legally certain date, so the document holds up against third parties) and legal force. This is a service that companies, especially construction firms and companies that hire work out often, need again and again; that's why, if your company signs in volume, we offer our Outsourced Legal Department agreement: your full legal department, without the payroll cost of an in-house lawyer.
Legal framework and important notes
Ley de Registros y Notarías (Registries and Notaries Law) · Código Civil (Civil Code) · Ley Orgánica del Trabajo (LOTTT, Venezuela's labor law)
- The biggest risk of a poorly drafted construction contract is that a court reads it as an employment relationship; that's why we lock in the contractor's independence
- Don't confuse this civil contract with the LOTTT's fixed-project employment contract, which is an employment contract
- The parties sign in person before the notary
- And if your company signs in volume, ask about the Outsourced Legal Department
We guarantee our service, not what the agency decides. If something depends on them, we tell you clearly and in time.
