Certified date for a retention-of-title sale

Before a government notary office · SAREN

It's the procedure for filing a sale contract with retention of title, already signed by the parties, at a notary office to be archived, which gives it a fecha cierta. Without a fecha cierta, the retention of title can't be enforced against third parties; with it, your security is ironclad.

What's included and what isn't

Everything clear from the start. No fine print.

Includes

  • Review of the retention-of-title contract to verify that it meets legal requirements and is signed by both parties.
  • Coordination of its filing at the notary office where the seller is domiciled.
  • Obtaining the archived document with its fecha cierta.

Does not include

  • Drafting the sale contract with retention of title, which is a separate service, if you don't have it yet.
  • Authentication of the signatures, since fecha cierta is an archive filing, not an authentication.
  • The official notary fee, which is paid separately and is low.

FAQ

What happens if my retention of title has no fecha cierta?

It can't be enforced against third parties. If the buyer runs into debt or resells the asset, your security can fall apart against someone who does have an official date.

Is it the same as authenticating?

No. Authenticating certifies the signatures; fecha cierta only archives the document and gives it an official date.

How much does it cost?

The professional fee, from $45, covers the handling; the notary fee is separate, and we give you the full figure upfront.

Does the contract have to be signed already?

Yes, fecha cierta applies to a document that's already signed; if you don't have one, we draft it separately.

Do you have a rate for dealers?

Yes, a partner price.

About this procedure

A fecha cierta is a small but decisive legal step in a sale with retention of title. Venezuelan law allows the retention-of-title document to be notarially authenticated, acknowledged before a notary, or simply given a fecha cierta, and it sets out something key: as long as the document has no fecha cierta, the retention of title can't be enforced against third parties. In plain English: if you sold on credit and kept ownership until you're paid, but the contract has no fecha cierta, a third party could challenge your security. With a fecha cierta, your position is ironclad, with an official date no one can dispute. The procedure is simple: either party files a copy of the contract, already signed by both, at a notary office in the seller's place of domicile, and the notary office archives it, giving it a fecha cierta. Unlike the full sale with retention of title, here we don't draft the contract or authenticate the signatures, because the document comes already signed; our job is to review it, take it to the right notary office and obtain the fecha cierta. That's why it's a faster, more affordable service. With our experience in vehicle sales, we check that your contract meets what the law requires so the fecha cierta takes full effect. And if you're a dealer or give fecha cierta to several contracts, we have a preferred partner rate.
