Extension of company term

Filed with the Commercial Registry · SAREN

Your company has a set term in its bylaws. If it's about to expire, it's a good idea to extend it. And if it has already expired, good news: in Venezuela, expiration doesn't automatically dissolve the company, so there's still a way out.

FAQ

What happens if my company's term has expired?

It didn't die. In Venezuela, expiration of the term doesn't automatically dissolve the company; it can still be extended, and you keep your RIF, your years in business and your history.

Does the price include the official fee?

No. The professional fee, from $120, covers the work; the Registry's official fee and the publication, which is mandatory in this case, are paid separately.

Can I extend after the term has expired?

Yes, the law expressly allows it.

Is publication mandatory?

Yes, in this case the law requires both recording and publication.

What's the difference from a reactivation?

An extension is for those who get ahead of the date or whose term just expired; a reactivation is for companies that have been expired for years and have a backlog to clean up.

About this procedure

Every company is born with a term written into its bylaws: twenty years, fifty, whatever the shareholders set when they formed it. Many business owners don't even remember theirs until a bank or a client points it out. And here's what almost nobody knows: many people believe that if that term expires, the company dies on its own and a new one has to be formed. That's not the case. Venezuela's Tribunal Supremo de Justicia (Supreme Court of Justice) has firmly held that expiration of the term doesn't dissolve the company by operation of law: dissolution requires the shareholders' decision and its recording. And the Código de Comercio (Commercial Code) expressly allows the shareholders to agree to extend the term, even after it has expired. So if your term is about to expire, we extend it ahead of time and you're set. And if it has already expired, there's still time to rescue the company. One important detail about this procedure: the law requires the extension agreement not only to be recorded but also published. We draft the extraordinary shareholders' meeting minutes, take them to the Commercial Registry and coordinate that publication, so your company's legal life is extended with no loose ends.
