What it costs and how to pay
There are two separate payments, and we want you to see them clearly.
Our fee: we do all the work for you.
The official registry fee. It goes straight to the agency, and we give you the exact amount, with its receipt, before you pay anything.
How you pay: You pay once, when we start. In dollars, in bolívares at the official BCV exchange rate, or with Cashea.
How is your investment calculated?
Your investment is made up of two parts, and we want you to see them clearly from the start. What you pay us — Our professional fee for handling the process, from $40. It covers the review, the digitization, handling of the publication and filing the copy back at the Commercial Registry. It already includes publication of a document of up to 8 pages
What's paid to the gazette — The cost of publication is calculated per page, meaning each side of the document that has text. It runs about $1.50 per page. That amount doesn't stay with us; it goes to the commercial gazette. If your document is longer than 8 pages, you only pay for the additional pages
Why don't we give you a single fixed price? Because not all articles of incorporation are the same length. A simple one may have 6 pages, and one with extensive bylaws can run past 12. Giving you a fixed number without seeing your document would be misleading you The lawyer gives you the exact figure before you pay anything, no strings attached.
FAQ
What happens if I don't publish?
Your company is left in legal limbo. The founding shareholders are personally liable to third parties, and in practice the bank won't open your account and SENIAT holds up your procedures.
Is publication mandatory?
Yes. The Código de Comercio requires it, and article 219 states that until the registration and publication formalities are met, the company is not considered legally formed.
How long do I have to publish?
The Código de Comercio refers to the fifteen days following the execution of the articles of incorporation. In practice, publication happens later, but the longer you wait, the more exposed the company is.
Is a digital publication valid?
Yes. Nationally circulated digital commercial gazettes are valid for every procedure that asks for the publication, including banks, SENIAT and registries.
How much does it cost, and what does it depend on?
The professional fee, from $40, covers drafting the request, the publication and filing in your company file. The gazette charges per page, and a page is each side of the document that has text: typical articles of incorporation run from 6 to 12 pages. We count them for you before you pay.
Do I have to take the gazette to the Registry myself?
No. We draft the request and file the copy in your company file. That's exactly the step almost everyone skips.
What if my company published a long time ago but never filed the copy?
We take care of it. We locate the copy and file it to complete your company file.
About this procedure
Registering your company isn't the last step. The Código de Comercio (Commercial Code) requires the articles of incorporation to be published in a newspaper, and article 219 is categorical: until those formalities are met, the company is not considered legally formed, and the founding shareholders are personally liable to third parties.
In practice, this turns into very concrete hassles. The bank asks for the publication to open your account. SENIAT (Venezuela's tax and customs authority) asks for it. Any serious procedure is going to ask for it.
The procedure has two halves, and almost everyone stops at the first. The first is publishing. The second, the one almost nobody does, is taking a copy of the publication back to the Commercial Registry with a signed request, so it's added to your company file. A company file without the publication on record is an incomplete file, and that will come back to bite you later, at the worst possible moment.
We handle both halves. We review your document, digitize it page by page, handle the publication in a nationally circulated commercial gazette, give you the copy as a PDF you can download as many times as you need, and file the copy back in your company file. You don't have to go anywhere.
Legal framework and important notes
Código de Comercio (Commercial Code), articles 212, 215 and 219 · Ley de Registros y Notarías (Registries and Notaries Law), article 85
- The per-page cost is set by the commercial gazette and may change without notice; the amount you see here is the one in effect when this page was put together
- Our lawyer confirms the exact figure before you pay
- The fifteen-day period in the Código de Comercio is what the law requires; publishing after that period is still possible and always better than not publishing
We guarantee our service, not what the agency decides. If something depends on them, we tell you clearly and in time.
