Sale with retention of title
It's a sale on credit where the buyer receives and uses the asset, typically a vehicle, but the seller keeps ownership until the last installment is paid. The document, with its price, installment plan and retention clauses, is authenticated before the notary. It's a sale and a form of security at the same time.

FAQ
What happens if I sell on credit without retention of title?
You hand over the asset and you're left as a mere creditor: if the buyer stops paying, fighting over the asset is much harder. Retention of title leaves you ownership as security until the last payment.
Can the buyer use the car?
Yes, from day one; only ownership is retained.
How much is the official notary fee?
It varies with the vehicle's type and year; the professional fee, from $65, is separate, and we give you everything up front.
What happens once payment is complete?
The retention of title is released through the INTT, and we handle it.
Do you have a rate for dealers?
Yes, a partner rate, based on your volume.
About this procedure
A sale with retention of title (reserva de dominio) is the tool for when you sell a car on credit and want to protect yourself: the buyer drives off with the vehicle and uses it from day one, but ownership stays with you, the seller, until they finish paying the last installment. If they don't pay, you're in a much stronger position to get the asset back than in an ordinary sale. It has its own law in Venezuela, and the document must spell out the price, the installment plan, the term and the conditions of the retention; that's why it's more detailed than a simple sale. A legal point worth knowing: even if you keep title, the INTT (land transport authority: vehicles and driver's licenses) treats whoever appears in its registry as the owner, so the retention must be properly reflected, and when the buyer finishes paying, a separate release of the retention of title has to be done so the car is free and clear in their name. With a car advisor's know-how, we draft the document with airtight clauses and installment plan, and the notary authenticates the signatures. And if you're a dealer or sell on credit often, this is your everyday tool: we have a preferred partner rate, so tell us your volume and we'll work it out. Buyer and seller sign in person before the notary.
Legal framework and important notes
Ley de Registros y Notarías (Registries and Notaries Law) · Código Civil (Civil Code) · Ley sobre Ventas con Reserva de Dominio (Retention of Title Sales Law)
- Two key points
- Retention is your security. That's why the document must be drafted well, with a clear installment plan and clauses, or it loses force if you have to make a claim
- And remember the final step. When the buyer pays the last installment, the retention has to be released through the INTT so the car is in their name, so don't leave it halfway
- The official notary fee varies by vehicle, and dealers get a partner rate
