Accounting

Books, financial statements, payroll and catch-up accounting: what your company must keep and how to put it in order, even if today it's all in a drawer.

32 questions answered by licensed lawyers and accountants.

Can you help me get a business loan, or is that something I handle with the bank myself? I want to start my business but I don't have capital.

We'll guide you, and I'll be honest with you: the bank approves the loan, not us. What we do, and this is where the difference lies, is get you ready so they approve it. Our accountant reviews your situation, tells you what the institution will ask for, and prepares the financial statements and support for your application. We also point you to the financing options that fit your case. Most applications fall through because they're presented poorly, not because of the business. Book an appointment, there's no charge, and we'll look at your case together.

I owe a bank. I fell behind on a loan and they reported me, so I can't even open a new account. Can you help me clean that up?

We can help, and I'll be straight with you, no smoke and mirrors: we don't erase a credit history, and nobody can legally do that. What we do is review your real situation and check that what they're reporting is accurate, because sometimes errors or debts already paid still show up. Then we go with you to negotiate with the institution, reach an agreement and get your release letter (finiquito). We don't promise miracles, but we do help you get back on your feet. Ask for a free appointment and we'll talk it over calmly.

I have a company but I want to close it, it's just not bringing in enough anymore. I was told closing a company is more expensive and complicated than opening one. Can you help me close it properly so I'm not left with debts hanging?

Of course, and you're right to close it the proper way, because a company that's closed badly keeps chasing you. It's true that closing has its process. You have to pay off what's owed, close things out properly with your employees, get compliance certificates from each agency, file the final tax return and register the dissolution. But doing it right is much cheaper than leaving it abandoned and having the obligations catch up with you a few years from now. Write to us, we'll schedule a time and close it the right way.

Someone paid me with a bad check, and when I went to cash it, it bounced. Now the person won't answer me. Can you help me collect that money?

Of course. A bounced check isn't just a debt: the law treats it harshly, and that works in your favor. We review your case and tell you what routes you have to make a claim, and which ones to use first. Often, a well-planned collection effort makes the person reappear before things have to escalate. And if they don't, we follow the route that applies. The key is to act fast, because these claims have time limits. Message us on WhatsApp and we'll get back to you.

Do you work with companies that are already large and up and running, or only with ones just starting out?

We work with both, and with everything in between. We help someone who's just setting up a business as much as a company that's been running for years, with its payroll and its branches. In fact, a good part of our work is with established companies that need to get organized, catch up or grow the right way. Size changes the type of advice, not the quality of the service. Tell us about your case and we'll tell you what you specifically need.

Can you handle my accounting every month, or do you only do one-off procedures?

Both. We'll handle any one-off procedure you need, but what really works in your favor is having us keep your books month by month, with licensed accountants who file on time and keep you in order. That's when you stop constantly putting out fires and paying fines you could have avoided. And if you use Squuad, everything is even faster, because we have your information up to date. We handle it as a monthly plan, sized to your business. Book an advisory session and we'll put yours together.

I have several companies, each with its books in a mess and tax returns overdue, and I can't keep up. Can you handle the accounting for all of them together, organized and up to date?

We'll handle all of them together, organized. Running several companies with messy books and overdue returns isn't something you fix in bits and pieces: you fix it with a monthly plan and a team behind it. Our accountants bring each company up to date, keep them filing on time and give you clear reports on all of them. And with Squuad you see them all in one place, without chasing information company by company. Book your free consultation and we'll study your case.

My debts with suppliers and the bank have piled up and they're drowning me. Can you help me renegotiate or restructure those debts legally so I don't go under?

We'll go through it with you, and it's better to renegotiate in time than to wait until you're drowning. With our accountant, we review the full picture of what you owe, rank the debts by urgency and cost, and put together a realistic restructuring proposal based on what your business can truly pay. With that, we go talk to your suppliers and the bank, because getting paid little by little suits them better than not getting paid at all. I want to shield my personal assets so that if my company runs into trouble or a debt, nobody can touch my house or my personal property. Can you help me separate and protect what's mine?

We'll shield it for you, and it's one of the most valuable kinds of advice there is. The idea is to clearly separate what's the company's from what's yours, with the right corporate structure. That way, a mess in the business doesn't reach your home or your personal assets. This includes reviewing how your assets are held today, your liability as manager and which structures suit you. Now, I'll be honest with you: this is done before the trouble, not when it's already on top of you. Ask for your free appointment and we'll talk it through, no rush.

I have merchandise, equipment and machines I never put on the books. Can you sort them out and record them properly?

We'll get it in order. Many companies have merchandise and equipment that never formally made it into their accounting. That distorts everything: you don't know what your business is really worth, you can't back up a loan, and you're exposed in any review. Our accountant takes stock and records your inventory and assets properly, and with Squuad you keep them under control from then on. Book an appointment, it's free, and let's talk.

I want to close my company for good, without leaving debts hanging or getting hit with a bill later. Can you handle the full liquidation?

We do, and closing properly is what truly gives you peace of mind. An orderly liquidation means paying what's owed, settling up properly with your employees, getting compliance certificates from each agency, filing the final tax return and registering the dissolution. Abandoning a company without closing it doesn't shut it down: it keeps piling up obligations that can surface years later, right when you're about to do something else. Reserve your free appointment and we'll take it from there.

I don't know what I'm doing wrong or what's expired, and I'm scared of getting fined. Can you do a full legal and accounting audit before they come down on me?

We do, and it's one of the best investments a business owner can make. A comprehensive audit looks at your company from the inside, on the legal side and the accounting side. It tells you exactly what's wrong, what's expired and what you're exposed to, before an inspection tells you with a fine attached. We give you a report with the gaps ranked by priority and a plan to fix them. Knowing where you stand is priceless. Book your free consultation and we'll review it together.

I want to transfer a contract or a debt to someone else. Can it be done, and how do I do it right?

It can be done, and there's an important difference you should know about. Assigning a contract usually requires the other party's consent, while assigning a debt owed to you can be done by notifying the debtor. Doing it the wrong way leaves the assignment without effect, and you thinking you were released when you weren't. Our lawyer drafts the right document, with the notices that apply, and leaves the transaction airtight. Talk to us and we'll prepare it.

I never had my accounting books, the journal and the general ledger, stamped or legalized. Can you legalize them now, or is it too late?

We'll legalize them for you. Accounting books must be properly stamped. Leaving them unlegalized is a gap that comes to light at the worst possible moment: in a tax audit, when you apply for a loan or when you sell the company. Our accountant prepares them and we handle the stamping properly, and we also bring any missing entries up to date. It's one of those things nobody misses until someone asks for it. I don't know who owes me or who I owe, I keep it all in my head. Can you set up an organized system for my accounts receivable and payable?

We'll set it up, and it's what separates an organized business from one working blind. With Squuad you track your accounts receivable and payable in one place: you know who owes you, how much and since when, and who you owe and when it's due. And our accountant structures that system and integrates it into your books. Most businesses that go under don't fail for lack of sales. They fail for lack of control over their money. I want to issue legally compliant credit and debit notes and delivery notes. Can Squuad do that?

It does. With Squuad you issue your credit and debit notes and your delivery notes with the required format and details, linked to the original invoice and recorded in your books. That matters, because a poorly issued note or a delivery note that doesn't back up a shipment is exactly the kind of detail that gets reviewed and penalized. Our accountant makes sure everything comes out right. Tell us about your case and we'll set it up for you.

I don't know how much I really make each month, it's all in my head. Can you give me real numbers?

We'll give you real numbers, and that's the biggest change you're going to feel. With Squuad everything that comes in and goes out is recorded, and that produces reports telling you how much you sold, what it cost you and what you actually kept, not what you think. And our accountant reads those numbers with you and tells you where you're losing money. Working hard without knowing whether you're making money is the most common situation we see. I want to give my customers credit and let them pay later, but then I don't know who owes me or how much and I lose money. How do I keep that under control?

You keep it under control with Squuad. You track your accounts receivable and know instantly who owes you, how much and since when, with the age of each debt in plain view. That way you stop giving credit blindly and start deciding, with information in hand, who gets credit and up to how much. And I'd recommend one more thing: for high-volume customers, it's worth having a signed document that backs that credit. Our lawyer drafts it for you. I buy from several suppliers and don't keep a record of what I owe each one. How do I organize my accounts payable?

You organize them with Squuad. You log each purchase with its supplier and due date, and you see on a single dashboard how much you owe each one and what's due first. That lets you plan your payments instead of constantly putting out fires, and keeps a supplier from cutting off your deliveries by surprise. And our accountant integrates all of that into your books. I need an independent external audit of my financial statements to present to banks or investors. Do you do that?

We do. When a bank or an investor asks for audited financial statements, they're asking for independent backing, and that's exactly what our team of licensed public accountants provides. We prepare your financial statements and issue the audit opinion at the level those institutions require. From the start, we also warn you what needs to be put in order in your books so the result is presentable. Reserve your free appointment and we'll take it from there.

I have a drawer full of papers I don't even want to open. Where do you even start sorting that out?

We'll sort it out and tell you what's current and what's not. Bring the drawer just as it is, with invoices, receipts, minutes and notices all mixed up; you don't need to organize it first. We go through it paper by paper, separate what's still valid from what's expired, and give you a clear list of what's in order and what needs to be brought up to date. That way you stop carrying that drawer around in your head. Book your free appointment and let's keep talking.

What are financial statements under VEN-NIF, and why am I being asked for them?

They're the reports that show how your company is really doing: what it owns, what it owes, what it earns and how its money moves. In Venezuela they're prepared under VEN-NIF (Venezuelan financial reporting standards). Banks, partners, agencies and anyone about to place their trust in your business will ask you for them. Our licensed accountants prepare them for you, up to date and done right. The consultation is free.

My compañía anónima doesn't have a comisario. Is that mandatory?

For compañías anónimas (Venezuelan corporations), yes. The Código de Comercio (Commercial Code) says they must have a comisario (statutory auditor required by Venezuelan law), who reviews the accounts and reports to the shareholders' meeting. Many companies have one only on paper, and it shows when partners disagree or there's a review. We can serve as your comisario or get you compliant with yours. Start with your free consultation.

I suspect someone on the inside is taking money from me. Can you do an audit?

Yes, with great discretion. That's what a forensic audit is for: we review transactions, inventories and accounts looking for what doesn't add up, and we leave a documented record in case action is needed. If it's confirmed, our legal team steps in with you for the next steps. Don't act before your evidence is in order. Ask for your free consultation and we'll talk it over in confidence.

The inventory in my system doesn't match what I have in the warehouse. What do I do?

The first thing is to actually count it. We do a physical inventory count: we count what's there, compare it with what your system says and find where the gap is. It could be a recording error, shrinkage or a leak. Then we adjust your books and leave you a control so it doesn't happen again. The consultation is free.

I'm going to buy a company (or sell one). How do I know the numbers are real?

With an in-depth review before signing, what's known as due diligence. We review its accounts, its debts, its taxes, its employees and its contracts, so you know exactly what you're buying or what you're selling. A hidden debt found in time changes the price, or the whole deal. Start with your free consultation before you commit.

I sell quite a bit, but I never have enough money at the end of the month. What's going on?

It's almost always cash flow: money comes in late, goes out early or disappears into costs you aren't measuring. With our financial health consulting, we review your real costs, your prices and the pace of your money, and we tell you where it's slipping away. Many times the business is good and it's just poorly measured. The consultation is free: bring your numbers.

I'm not sure my prices are calculated right. Can you help me set them?

We'll help you. A well-set price covers your real costs, your fixed expenses and your taxes, and leaves you a profit. Many businesses sell a lot and earn little because they never ran those numbers. We review your cost structure and propose well-founded prices. Ask for your free consultation and we'll go through it with your products.

What's the difference between what the accountant does and what the tax lawyer does?

The accountant keeps you compliant and the lawyer defends you. The accountant handles your books, files your tax returns and keeps you current with SENIAT (Venezuela's tax and customs authority). The tax lawyer steps in when there's a tax audit, a reparo (tax assessment notice), a fine or an appeal. The upside of working with us: both sit at the same table, with the same information. I have employees and I'm not sure I'm paying their mandatory contributions correctly. Can you review my payroll?

We'll review it. We calculate the payroll and each employee's mandatory contributions, such as Social Security, housing and training, and tell you if anything is overdue or miscalculated. A contribution done wrong turns into a fine or a claim when you least expect it. We get you up to date, and if you want, we handle it for you month after month. The consultation is free.
