FAQ
What happens if I assign the right verbally or on a plain piece of paper?
As far as the debtor and third parties are concerned, the assignment doesn't exist until the debtor is notified and it's in a document with fecha cierta; the person receiving it may end up with no way to collect what you assigned.
Is an assignment without payment taxed?
Since it's free of charge, it's worth reviewing the tax treatment case by case; we guide you.
How much does it cost?
The professional fee, from $55, covers drafting and notarial authentication; the official notary fee, per page, is separate.
Is it similar to a gift?
In spirit, yes, because there's no price.
Do I also have to notify the debtor?
Yes, article 1.550 of the Código Civil applies just the same; without notice, it has no effect against the debtor.
About this procedure
An assignment without payment (cesión gratuita) is the contract in which one person, the assignor, transfers a right or a claim to another, the assignee, without receiving a price in return, that is, free of charge. It's governed by the same rules on assignment in the Código Civil (Civil Code) (articles 1.549 and following), with the particularity that, since there's no price, it comes close in spirit to a gift of a right. It's widely used among family members and people you trust: assigning to a child what a third party owes you, transferring rights under a contract to a partner without charging them, or passing a claim to another person out of affection or family convenience. Just as with an assignment for payment, the point you can't neglect is notifying the debtor: under article 1.550, the assignment has no effect against the debtor or third parties until the debtor is notified or accepts it. We draft the assignment stating expressly that it's free of charge, have it authenticated at the Notaría Pública (government notary office) to give it fecha cierta (a legally certain date, so the document holds up against third parties) and handle the notice. If you're going to receive a price in exchange for the right, what you need is the Assignment for payment (cesión onerosa); if what you're receiving is an asset from a common pool (an inheritance, a co-ownership), look at the Allocation of assets (adjudicación).
Legal framework and important notes
Ley de Registros y Notarías (Registries and Notaries Law) · Código Civil (Civil Code)
- Even without a price, notifying the debtor is still mandatory for the assignment to take effect against third parties
- And it's wise to state in writing that it's free of charge, so it can't later be read as a transaction with a hidden price
We guarantee our service, not what the agency decides. If something depends on them, we tell you clearly and in time.
