Our fee: we do all the work for you.

How is your investment calculated?
Your investment has two parts, and we always show them to you separately. Our professional fee, from $40, which covers identifying the minutes, the request, follow-up and pickup
The official registry fee charged by the Commercial Registry, which isn't ours and is paid to the government; the Registry charges it per certified page, so it depends on how many pages the minutes have. If you'll use the copy abroad and it needs an apostille or legalization, that is quoted separately Your lawyer gives you the exact number before you pay anything, no strings attached.
FAQ
What happens if I bring a photocopy of the minutes to an official procedure?
For official procedures, it won't be accepted. Banks, courts and government agencies require the copy certified by the Registry, which is the one with official legal weight. Showing up with a photocopy means a wasted trip.
How much does it cost?
The professional fee, from $40, covers our work. The Registry charges per certified page, so it depends on how many pages the minutes have; we break it down for you in the quote.
How is this different from the original I have?
Your copy is for your records, but the certified copy is issued by the Registry from what is kept in its archive, with seal and signature, and that's why third parties accept it.
Can I request a copy of any minutes?
Of any minutes recorded in your company file. If they're not recorded, they have to be recorded first.
Is it valid abroad?
For use abroad it usually needs an additional apostille or legalization, which we handle separately.
About this procedure
Let's clear up what this is and what it isn't, because people mix it up. A certified copy is NOT a photocopy of the minutes you have on file. It's a copy issued by the Commercial Registry itself of a document kept in its archive, with its seal and signature, and that's why it carries official legal weight: it's valid before banks, courts, government agencies and any third party who needs certainty that the document is authentic and recorded.
When will you be asked for one? All the time. A bank that is opening an account for you or granting you a loan wants a certified copy of the minutes that appointed the current board of directors. In a lawsuit, a court requires a certified copy of the articles of incorporation and bylaws, or of the minutes that grant powers to the legal representative. A public tender asks for certified copies of the minutes that show who runs the company. A buyer in a large deal asks for them to verify. In all of these cases, a photocopy won't do: it has to be certified by the Registry.
The procedure itself is simple and one of the fastest, because nothing new has to be created or decided: the minutes already exist and are already recorded. You just formally request the copy, wait for the Registry to certify it and pick it up. Where it sometimes gets stuck is identifying exactly which minutes to request and with what details, and following up so the request doesn't end up sitting in a drawer. That's what we take care of.
We handle everything: we identify the exact minutes you need based on how you'll use them, file the request at the Commercial Registry, follow up and pick up the certified copy for you, ready to hand over wherever it's being requested.
Legal framework and important notes
Código de Comercio (Commercial Code), article 212 · Ley de Registros y Notarías (Registries and Notaries Law), article 85
- A certified copy is not a photocopy. The Commercial Registry issues it with its seal and official legal weight, and it's what banks, courts, government agencies and public tenders require
- If the minutes contain an error, what you need is not a copy but a correction; and if the minutes aren't recorded yet, they must be recorded first
- We guide you based on your case
- If the copy is for use abroad, we can get it apostilled or legalized for you
- The Registry's fee is calculated per certified page, so the amount varies with the length of the minutes
We guarantee our service, not what the agency decides. If something depends on them, we tell you clearly and in time.
