FAQ

What happens if I hold the meeting without a notary and a partner challenges it?

It's your minutes against their word. With the notary present, what happened at the meeting carries fe pública and the challenge loses its footing.

Is this the same as recording the minutes at the Commercial Registry?

No. Here the notary witnesses the meeting and certifies it live; the registry later records the decision already made. They're different things, and sometimes you do both.

How much does it cost?

The professional fee, from $90, covers the coordination and the record; the official notary fee depends on the number of pages, and the notary's travel is charged separately based on distance. We give you the full figure beforehand.

How much notice should I give?

As much as possible, to secure the notary's availability.

What's the point of having the notary present?

To shield the meeting from challenges.

About this procedure

When a meeting is sensitive (a close election, decisions someone may want to overturn later, partners at odds), having the notary present changes everything. The notary attends the meeting and certifies, in real time, what actually happens: who attended, whether there was a quorum, how it unfolded, how the vote went and what was approved. That shields the meeting: afterward, no one can claim there was no quorum or that something else was decided, because there is fe pública (the notary's legal power to certify facts and documents) of what took place. It's different from recording the minutes at the Registro Mercantil (Commercial Registry): there, the decision already made is recorded; here, the notary witnesses the act as it happens and certifies it. It's used at contentious shareholders' meetings, at condominium board meetings with heated issues, and at associations and foundations. Since the notary travels to the venue, that travel is a separate cost that depends on the distance, and we tell you about it beforehand.
